The 50% shareholding in FAW Toyota Motor Company Ltd is moving from one state-owned Chinese automaker to another, in a transfer that affects one of two joint ventures that together sold roughly 750,000 vehicles in China during the first eight months of 2026. FAW Corporation Limited (FAW) has agreed this week to GAC's proposal to transfer its 50% holding in FAW Toyota to Guangzhou Automobile Group Company Ltd (GAC). GAC will issue new shares in return, making FAW its second-largest shareholder.
What does the transfer change?
Toyota Motor Corporation retains its own 50% stake in each of the two ventures. The change matters because GAC already owns 50% of the second joint venture, GAC Toyota Motor Company, so once the transfer completes, GAC becomes the main Chinese partner in both. Both joint ventures took shape in the early 2000s and have collectively sold 23 million vehicles to Chinese customers since then, according to figures cited by Toyota. Each JV ran a separate dealer network that historically covered different regions of China, with limited overlap between the two sales footprints.
Why consolidate now?
Toyota said in a statement that under the new agreement the two partners will "build on an asset and capital alliance to gradually deepen and expand their areas of cooperation through technological innovation." The language points to shared research and development, shared procurement, and shared production planning. Chinese joint ventures have pursued that kind of consolidation as electric and intelligent vehicle programmes require larger engineering budgets. The 750,000 vehicles sold in the first eight months of 2026 imply a combined annual run-rate close to 1.1 million units, the kind of volume that makes platform sharing economically viable across two factories.
What form will the new alliance take?
FAW Toyota and GAC Toyota will continue to exist as independent companies, with their own boards and financial accounts. On top of that layer, the two ventures will set up a shared alliance to handle research and development, procurement, production, and sales. Toyota described the structure as "a significant step toward further deepening the cooperative relationship between FAW and GAC." The framework brings FAW, Toyota, and GAC into a three-company strategic alliance. The companies said the goal is to "accelerate the development of electrification and intelligence" at both ventures, language that reflects Beijing's policy push for new energy vehicles and software-defined cars (vehicles whose features are upgraded through software rather than hardware). Both sides also committed to becoming the "best in town," a phrase Toyota used to signal a renewed focus on local competitiveness.
What should observers watch next?
The transaction still requires regulatory clearances, including approvals from Chinese competition authorities and any filings related to GAC's share issuance. The first operational test will be whether the two joint ventures actually begin sharing platforms and component sourcing, rather than continuing to run parallel product programmes that duplicate engineering work. The cumulative 23 million vehicles sold since the early 2000s gives the partnership scale. The 2026 full-year delivery total for both ventures will be the first figure that reflects any operational effect of the new structure. Watch also for any new energy vehicle programmes announced jointly, since the alliance language is explicit on electrification and on local research and development.
