Volkswagen and Gotion Tie Three Plants Into Joint Venture Swap

Volkswagen is bundling three battery plants into joint ventures with Gotion High-tech, in a deal that would pull the Chinese cell maker directly into PowerCo's flagship Sagunto, Spain, project while giving Volkswagen entry to Gotion-backed battery projects in Slovakia and Morocco.
The Sagunto plant, under construction by Volkswagen's battery subsidiary PowerCo, would become a joint venture project under the arrangement. That marks a significant structural change for a site Volkswagen has positioned as a cornerstone of its European cell industrialization. In exchange, Gotion is opening the door for Volkswagen to participate in battery projects in Slovakia and Morocco — two locations where the Chinese supplier has been building its own European and near-shore footprint.
The deal is not done. Whether what electrive describes as a "mega-deal" proceeds now depends on the relevant authorities. Corporate transactions of this scale — a German automaker deepening its stake in a strategically sensitive battery partnership with a Chinese supplier — will require regulatory sign-off, and the outcome and timing of those approvals remain open questions.
What the structure implies
The Sagunto conversion is the most consequential element. Volkswagen created PowerCo to control its own cell production in Europe, and turning a PowerCo site into a joint venture with Gotion would shift the plant from wholly owned capacity to shared governance. That has implications for how Volkswagen manages technology transfer, pricing, and supply security at a plant it has promoted as central to its electrification ramp.
For Gotion, a stake in Sagunto would plant its flag inside one of Europe's largest planned cell operations and deepen a relationship in which Volkswagen is already a major shareholder in the Chinese company. The Slovakia and Morocco openings run the other way: they give Volkswagen exposure to lower-cost production geography outside its current PowerCo site plan, without committing its own capital to greenfield construction there.
Morocco in particular has attracted battery supply chain investment because of its phosphate reserves and proximity to European vehicle plants. Slovakia offers existing automotive manufacturing density and labor cost advantages. Neither project has been a Volkswagen PowerCo location to date.
Claims against production reality
As with all supplier-side announcements, the joint venture framework is an intention until plants actually produce cells. Sagunto is still under construction, so no production data yet exists against which to measure the partnership's output contribution. The Slovakia and Morocco projects likewise remain Gotion initiatives whose Volkswagen participation would take time, capital commitments, and approvals to materialize.
The regulatory contingency is the immediate gate. Competition and foreign-investment authorities in the relevant jurisdictions — Spain for the Sagunto asset, plus the home jurisdictions governing the Slovakia and Morocco projects — will determine whether the three-way structure clears.
What to watch next
The first hard milestone is the regulatory decision on the joint venture filings; without clearance, the Sagunto conversion and the Slovakia and Morocco openings stall. After that, watch for the formal JV agreements specifying ownership splits, investment amounts, and capacity allocation at Sagunto — none of which the current announcement quantifies. The capacity milestone to track is first cell production at Sagunto, which will reveal whether the JV structure accelerates or complicates PowerCo's launch timeline.
